MuniServe Terms & Conditions

These Terms & Conditions (“Terms”) govern your (“LGU,” “you,” “your”) access to and use of the MuniServe platform and related services (“Service,” “MuniServe,” “we,” “our,” “us”). By creating a MuniServe account, signing a subscription order, or using any part of the Service, you agree to be bound by these Terms. Note: MuniServe is a “software-as-a-service‐provider” (Personal-Information Processor) to Philippine Local Government Units (Personal-Information Controllers). These Terms complement—but do not override—Philippine laws such as the Local Government Code, Data Privacy Act of 2012, and Government Procurement rules.


1. Scope of Service

1.1 Modules Included

Your subscription grants access to every active module:

Business-Permit workflow automation Barangay-Clearance e-Issuance Online Appointment Calendar Citizen Smart List & omni-channel messaging (SMS, e-mail, Messenger, TikTok, etc.) Real-time dashboards & reports Municipal/barangay website hosting 1,000 outbound SMS per LGU per billing period Unlimited users, departments, and barangay accounts

1.2 Customizations

Workflows, forms, pipelines, dashboards, and user roles may be customised by your authorised admins via the no-code builder.

1.3 Third-Party Services

The Service integrates with AWS, PhilSMS/Semaphore, Infobip/Twilio (optional), Make.com/Zapier, Facebook Messenger, and Google services. Your use of those integrations is governed by their respective terms in addition to these Terms.


2. Subscription & Fees

2.1 Plan & Pricing

“Municipality Plan” – ₱ 5,999 per LGU per month, VAT included. First invoice issued after onboarding completion or 30 days from sign-up, whichever comes first.

2.2 SMS Overage

Outbound SMS beyond the 1,000-message monthly quota is billed at ₱ 0.65 per SMS, rounded to the next peso, invoiced quarterly in arrears.

2.3 Payment Terms

Invoices are due 30 calendar days from date of receipt (RA 9184 §42). Acceptable payment methods: cheque payable to our registered business name, LandBank deposit, or authorised electronic fund transfer. Late payments accrue 2 % interest per month.

2.4 Price Changes

Rates may change with 60 days’ written notice. You may terminate the Service before the new rate takes effect.


3. Term & Termination

3.1 Initial Term – month-to-month unless otherwise stated in your Purchase Order or MOA.

3.2 Cancellation – You may cancel at any time via written notice; access remains until the end of the paid period.

3.3 Suspension/Termination by MuniServe – We may suspend or terminate if:

a) invoices remain unpaid 60 days past due;

b) you materially breach these Terms;

c) continued use would violate applicable laws.

Data export will remain available for 30 days after termination.


4. Data Ownership & License

4.1 LGU Data – All personal and permit data entered into MuniServe remain your property.

4.2 License to Process – You grant MuniServe a limited, revocable, non-exclusive license to process data solely to provide and improve the Service.

4.3 Aggregate Analytics – We may create anonymized statistics for product improvement. No personal or permit-level data will be disclosed.


5. User Responsibilities

5.1 Accurate Information – You are responsible for the correctness of data submitted.

5.2 Access Control – You must create, assign, and deactivate user accounts in line with your internal policies; sharing passwords is prohibited.

5.3 Legal Compliance – You will use the Service in accordance with the Local Government Code, Data Privacy Act, Anti-Red Tape Act, and all other applicable laws or ordinances.


6. Acceptable Use Prohibited activities include, but are not limited to:

Sending spam, political campaigning outside official LGU notices, or content that violates RA 10175 (Cybercrime Law) Introducing malware or attempting unauthorized access Using the Service to store or transmit child exploitation material; hate speech; or confidential national-security data

Violation may result in immediate suspension.


7. Service Levels & Support

7.1 Uptime – 99.5 % monthly availability (measured at AWS load-balancer).

7.2 Scheduled Maintenance – Notice at least 24 hrs in advance; downtime windows limited to 2 hrs, typically 00:00–04:00 PHT.

7.3 Support Response

Critical (system down) – 1 business hour High (major feature degraded) – 4 business hours Normal – 1 business day

Support channels: e-mail, live chat, dedicated phone line.


8. Security & Data Protection

8.1 Encryption – TLS 1.2+ in transit, AES-256 at rest.

8.2 Backups – Nightly incremental and weekly full backups, retained 30 days.

8.3 Audit Logs – Immutable logs retained for 2 years; accessible to LGU auditors on request.

8.4 Breach Notification – Within 72 hours, in accordance with NPC Circular 16-03.


9. Confidentiality Both parties will keep confidential any non-public information (e.g., permit fees, proprietary code). Obligations survive 3 years post-termination, except where disclosure is required by law or COA audit.


10. Warranties & Disclaimers

10.1 Mutual Warranty – Each party warrants it has authority to enter these Terms.

10.2 Service Warranty – We warrant the Service will perform substantially as documented. Your exclusive remedy for breach is re-performance or service credit, at our option.

10.3 Disclaimer – Except as expressly stated, the Service is provided “as is.” We disclaim all implied warranties, including merchantability and fitness for a particular purpose.


11. Limitation of Liability To the maximum extent permitted by law, each party’s aggregate liability under these Terms is limited to 12 months of paid subscription fees. Neither party is liable for indirect, incidental, or consequential damages (loss of profits, data, goodwill) even if advised.


12. Indemnification You agree to indemnify and hold MuniServe harmless from third-party claims arising from:

a) your unlawful content or data;

b) use of the Service in violation of these Terms;

c) breach of data-privacy obligations attributable to your negligence.


13. Governing Law & Dispute Resolution These Terms are governed by the laws of the Republic of the Philippines. Disputes shall be submitted to the Office of the Ombudsman Mediation Center; unresolved matters proceed to the proper court in [City], Philippines. Parties may instead agree to arbitration under PDRC rules.


14. Force Majeure Neither party is liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, power outages, or telco failures.


15. Amendments We may amend these Terms with 30 days’ notice via e-mail to LGU admins. Continued use after the effective date constitutes acceptance. Material changes (pricing, liability) require written LGU consent or the right to terminate without penalty.


16. Severability If any provision is held invalid, the remaining provisions will remain in full force.


17. Entire Agreement These Terms, together with any signed Purchase Order, constitute the entire agreement and supersede prior oral or written discussions.
